Form 4 is an SEC filing that reports transactions (buys, sells, options exercises, gifts) of a company's stock by insiders including officers, directors, and large shareholders (> 10% ownership). Filed within 2 business days of the transaction, Form 4 is the primary source for tracking insider activity.

Example
The CEO of Microsoft (MSFT) exercises stock options to buy 10,000 shares. She must file a Form 4 within 2 business days reporting the transaction date, price, and current holdings. Investors can view this filing on SEC EDGAR and track insider activity.
How to Interpret It
- Form 4 Buy: Insider buying stock with personal money, often bullish signal (insider has conviction).
- Form 4 Sell: Insider selling stock; less conclusive (could be tax, diversification, or opportunity elsewhere).
- Options Exercise: Executive exercised stock options; not as informative as a personal market purchase unless followed by a hold.
- Batched filings: Insider selling can be batched and reported later, sometimes showing holdings after market-moving news.
- Holdings increase/decrease: Track whether insider holdings are growing or shrinking to gauge conviction.
Limitations
- Insiders are often required to sell to exercise options or pay taxes; selling doesn't indicate pessimism.
- Form 4 filed within 2 business days means news is delayed; by the time you see it, an insider may have already acted.
- Rule 10b5-1 plans are pre-set trading programs, removing timing discretion and making the activity less meaningful.
- Small transactions (< $1,000) don't move markets but still must be filed, creating noise.
